Tesla free from suit involving Elon Musk’s ‘funding secured’ Tweet

Tesla is free from yet another lawsuit that is related to CEO Elon Musk’s ‘funding secured’ Tweet from 2018, a post that has put the company in hot water several times.

JPMorgan sued Tesla in 2021, claiming that Tesla shares were owed based on a 2014 agreement. If the stock traded above a certain price, Tesla would have to give JPMorgan shares or cash.

When Musk sent out the Tweet, now referred to as just a post because of Musk’s purchase of Twitter, which is now just called X, the situation became much more complicated.

Musk infamously said that he was considering taking Tesla private at $420 per share, with the phrase “funding secured” at the end.

JPMorgan claimed it had the ability to adjust the strike price of the warrants based on Tesla’s volatility as a security. It made adjustments after Musk made the ‘funding secured’ Tweet and again adjusted when Tesla was not taken private.

Tesla said JPMorgan had taken advantage of the Tweet to reduce the strike price of over 1.9 million warrants. It filed a claim and called the bank’s suit a “bad-faith breach” of their agreement.

Bloomberg reported the story.

On Friday, both sides made moves to end the suit, dropping any claims against the other party. They will not be able to refile.

This is far from the first suit that has had to do with Musk’s ‘funding secured’ saga. In November, another suit was also settled regarding the Tweet, which also resulted in Tesla paying billions to the SEC and being forced to regulate Musk’s communications on the platform.

Musk has called for the “muzzle” against his free speech to be removed by the SEC, but the punishment still stands, at least as of now.

Musk has said on numerous occasions that he does not have his X posts monitored due to the infringement it has on his right to free speech, something that was a main pillar in his decision to buy X.
